Mainland or free zone: choosing where to set up in Dubai

The jurisdiction you pick decides where you can sell, what office you need and how your company is taxed. Here is how to think it through.

Choose the mainland if most of your customers are inside the UAE and you want to trade with them directly. Choose a free zone if you mainly sell internationally, work in a sector a particular free zone is built for, or want a lighter office setup. The right answer depends on your activity, so compare both before you commit.

What is the difference?

A mainland company in Dubai is licensed by the Department of Economy and Tourism (DET) and can trade anywhere in the UAE market. A free zone company is licensed by the authority of that free zone, such as DMCC or Dubai South, and is set up mainly for business within the zone and outside the UAE.

Since 2021, foreign investors can own 100% of a mainland company for most activities, so ownership is no longer the main reason to choose a free zone.

Five questions that usually decide it

  1. Where are your customers? Selling directly to UAE customers, or bidding for government contracts, points to the mainland. Selling abroad or online to international clients often suits a free zone.
  2. What is your activity? Some free zones specialise in media, technology, commodities or logistics and offer activities and facilities built for them.
  3. What office do you need? Mainland companies generally need a registered office with a tenancy contract. Many free zones offer flexi-desk or shared office packages.
  4. How many visas? The number of residence visas a company can sponsor is linked to its office space in both jurisdictions.
  5. How will tax apply? Corporate tax applies to both. Free zone companies that meet specific conditions can benefit from a 0% rate on qualifying income, which needs careful planning and record keeping.

Can I change later?

Yes, but moving jurisdiction usually means setting up a new company and transferring contracts, visas and bank accounts. Some businesses start in a free zone and add a mainland licence or branch when UAE sales grow. It is simpler to choose well at the start.
